the constitution makes no mention of corporations but, with the depredations of the companies chartered by the English Crown firmly in mind, in order to deter concentrations of power gave state legislatures elected by the people the power to enact laws. what president lincoln was referring to was that in the later 1800s and especially after the profiteering of the civil war, legislators, under pressure from industrialists and bankers, increasingly gave corporations more property rights than the people. the supreme court in 1886 (santa clara vs southern pacific railroad) decided that a corporation was an individual, with all the rights guaranteed in the constitution. widespread judicial opinion was that there was absolutely no logic or precedent for this. previously corporations were of limited duration, capitalization, landholding, and purpose. there were NO limitations on liability and shareholders had a major say in decisions. states could amend or revoke charters.

the point here is the sheer SIZE of corporations and hence the financial and legal power they could wield for their protection and expansion and against the individual.
